You are responsible for maintaining the confidentiality of your password and are solely responsible for all activities resulting from the use of your password and conducted through your PSU.wiki account.

Services are available to authorized representatives of legal entities and to individuals who are either (i) at least 18 years old to register for Wiki Accounts. Minors are not permitted on PSU.wiki, its website, or its Services. If you have authorized a minor to use the Site, you are responsible for the online conduct of such minor, and the consequences of any misuse of the Site by the minor. Parents and legal guardians are warned that the Site does display Services containing nudity and violence that may be offensive to some.

The Services are for use by a) individuals who own Services; and b) entities that represent owners of Services including, but not limited to, galleries, agents, representatives, distributors, and other market intermediaries. We are currently not accepting video, illustrations, and graphic design content to upload on the Site without prior approval or proper registration as determined by Us. If you are the owner of the Services, but not the creator, you are not allowed to upload content for the purposes of self-advertising.

10) To artificially inflate or alter vote counts, blog counts, comments, or any other Service or for the purpose of giving or receiving money or other compensation in exchange for votes and/or in an attempt to alter the result of any sweepstakes or promotion, or for participating in any other organized effort that in any way artificially alters the results of Services;

If the Services or Site are used in a manner that violates the Terms in any way, PSU.wiki may at its sole discretion, but is not required to, suspend or terminate your account, disable your access to the Site and/or any Services, and/or take any steps that it deems appropriate to address the situation.

Because PSU.wiki has no control over such sites and resources, you acknowledge and agree that PSU.wiki is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that PSU.wiki shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such site or resource.

You hereby expressly and irrevocably release and forever discharge PSU.wiki, its affiliated and associated companies and its authorized distributors, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns of and from any and all actions, causes of action, suits, proceedings, liability, debts, judgments, claims, and demands whatsoever in law or equity which you ever had, now have, or hereafter can, shall or may have, for or by reason of, or arising directly or indirectly out of your use of the Site and the Services.

You hereby agree to indemnify and hold harmless PSU.wiki, its affiliated and associated companies and its authorized distributors and third-parties, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary, and indirect damages), and reasonable attorneys' fees, resulting from or arising out of (i) a breach of these Terms, (ii) Content posted on the Site, (iii) the use of the Services, by you or any person using your account or PSU.wiki Username and password, (iv) the licensing, distribution, or use of your Services, or (v) any violation of any rights of a third party. PSU.wiki reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

PSU.wiki may terminate or suspend any and all Services and/or your PSU.wiki account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination of your account, your right to use the Services will immediately cease. PSU.wiki shall not be responsible for distributors who do not comply with PSU.wiki instructions to remove content in a timely manner.

It is your responsibility to retain copies of your content because PSU.wiki may automatically remove and delete remove all Services and content from your account prior to termination.

As a non-commercial entity, we may accept donations or fundraise for service, server, and/or site fees through various legal means. We do not offer refunds unless we deem you deserve one, as in; If we, the owners, or the service believes that it is an appropriate decision, we may refund you based upon a decision made there and then. Otherwise, refunds are not possible, of which, you consent & fully agree to, for any and all donations and/or financial transactions. You fully consent, completely agree, and legally pledge to fulfill any responsibilities stated in the following Terms in regards to creating, initiating, or filing “Chargebacks” or any form of settlement besides aforementioned venues (for example, the Support Ticket panel or by contacting the PSU.wiki's Higher Staff) even by direct or indirect actions, against PSU.wiki, at any time and/or for any reason, is to be strictly prohibited & treated as an intentional breaking of the Terms & Conditions and this Refund Policy. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of the prize.    

4. HOW TO ENTER: Enter the Sweepstakes during the Promotion Period online by visiting the entry form, which can be found on the following website at “PSU.wiki”.

    Automated or robotic Entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, contest/sweepstakes subscription notification and/or entering services, will void Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All Entries must be posted by the end of the Promotion Period in order to participate. Sponsor's database clock will be the official timekeeper for this Sweepstakes. Alternative Method of Entry (AMOE) may be offered by contacting the e-mail address “[email protected]” for one (1) free entry per person, per household to applicable & active sweepstakes    

5. WINNER SELECTION: The Winner(s) of the Sweepstakes will be selected in a random drawing from among all eligible Entries received throughout the Promotion Period. The random drawing will be conducted about WINNER ANNOUNCEMENT TIMEFRAME after the Promotion Period by Sponsor or its designated representatives, whose decisions are final. Odds of winning will vary depending on the number of eligible entries received.

6. WINNER NOTIFICATION: Winner will be notified by an Internet message from & on the website, “PSU.wiki”, or via other Internet message(s), approximately WINNER NOTIFICATION TIMEFRAME after the random drawing. Potential Winner must accept a prize by email as directed by Sponsor within WINNER ACCEPTANCE TIMEFRAME of notification. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or Winner’s failure to adequately monitor any email account.

    Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a Publicity Release (collectively “the Prize Claim Documents”). No substitution or transfer of a prize is permitted except by Sponsor.

7. PRIVACY: Any personal information supplied by you will be subject to the privacy policy of the Sponsor posted at “PSU.wiki/privacy-policy”. By entering the Sweepstakes, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Sweepstakes Entities for the purpose of administration and prize fulfillment, including use in a publicly available Winners list.

LIMITATION OF LIABILITY: Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; © any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant's or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Sweepstakes or download of any materials in the Sweepstakes.

    If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part. In such event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total ARV as set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Sweepstakes.

10. WINNER LIST/OFFICIAL RULES: To obtain a copy of the Winner List or a copy of these Official Rules, send your request via a support ticket on the website, “PSU.wiki”. Requests for the names of the winners must be received no later than the Sweepstakes win-date(s) after the respective Promotion Period(s) has ended. 1) Controlling Law. The Terms shall be governed by and construed in accordance with the laws of the United States of America, as applicable, without regard to conflicts of laws principles. The United Nations Convention on the International Sale of Goods does not reasonably apply, as this Site is meant solely for the residents of the United States, and is expressly excluded. The General Data Protection Regulation (EU) 2016/679 (known collectively as “The GDPR”, “GDPR”, “EU Data Protections”) does not apply and is expressly excluded.

2) Disputes and Arbitration. Any controversies or disputes arising out of or relating to these Terms that shall not be legally immune by your consent & waiver(s) of your respective rights to dispute and/or part-take (and/or form) claims within the United States, shall be resolved by binding arbitration in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association or of the International Center for Dispute Resolution to be held in one of the following jurisdictions (whichever is closest to you): New York, New York; San Francisco, California. The parties shall select a mutually acceptable arbitrator knowledgeable about issues relating to the subject matter of these Terms. The arbitration proceeding shall be conducted in English and all documentation shall be presented and filed in English. The arbitrator shall not have the authority to modify any provision of these Terms or to award punitive damages. The arbitrator shall not have the power to issue mandatory orders and restraint orders in connection with the arbitration, to the extent of applicable laws. The decision rendered by the arbitrator shall be final and binding on the parties, and judgment may be entered in conformity with the decision in any court having jurisdiction. The prevailing party shall be entitled to recover its reasonable legal costs relating to that aspect of its claim or defense on which it prevails, and any opposing costs awards shall be offset. The agreement to arbitration shall be specifically enforceable under the prevailing arbitration law. During the continuance of any arbitration proceeding, the parties shall continue to perform their respective obligations under these Terms. The parties agree that, notwithstanding any otherwise applicable statute(s) of limitation, any arbitration proceeding shall be commenced within two years of the acts, events, or occurrences giving rise to the claim.

3) Confidentiality Obligation. For as long as either party possesses any confidential information, you and all other third-parties involved that are not direct party of PSU.wiki's legal proceedings team, agrees to not disclose any Confidential Information of the other party to any third party or use any of the Confidential Information except as necessary to perform that party's obligations under these Terms. Confidential information includes without limitation information concerning marketing plans, financial results, pricing schedules, product lines, product plans, proprietary technology, research information, practices, trade secrets, and any and all other information as deemed confidential by the disclosing party which is not generally known to the public.

4) Assignment. These Terms shall be binding upon and shall inure to the benefit of the parties’ heirs, executors, administrators, successors, and permitted assigns. PSU.wiki may assign its rights and obligations under these Terms, including without limitation, any assignment resulting from any corporate reorganization, merger, sale of substantially all the assets to which these Terms relate. Your obligations under these Terms are personal and may be assigned only with PSU.wiki’s prior written consent.

5) Relationship of the Parties. Nothing in these Terms will constitute the relationship of an employer and employee, a principal-agent, partnership, or a joint venture between the parties. You are responsible for obtaining and maintaining all applicable business licenses and insurance, and for timely payment of all income, payroll, and employment-related taxes, including without limitation all unemployment, workers compensation, income tax withholding, social security, and any other taxes of any nature.

6) Notices. Notices to be served in accordance with these Terms may be served by but not limited to, email, support ticket website(s) panel(s) system(s), text (“SMS”, Internet, verbal, and/or written) message, social media providers, or by mail, at the election of PSU.wiki. However, email shall be the predominant source of communication. You agree to notify PSU.wiki of any change in your email or mail address for the purpose of notification pursuant to this Agreement.

7) Severability. In the event that any provision of these Terms shall be unenforceable or invalid under any applicable law, or so held by applicable court decision, such enforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and in such event such provision shall be changed and interpreted so as to best accomplish the objectives of such provision.

8) Entire Agreement. These Terms incorporate the entire understanding of the parties concerning the subject matter contained herein and merges and/or supersedes all prior and contemporaneous communications and/or agreements. No action of PSU.wiki, other than the express or written waiver or amendment, may be construed as a waiver or amendment of these Terms.
